Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zeisoft Yazılım Limited Şirketi ("HeyMetra," "Company," "we," "our," or "us") concerning your access to and use of HeyMetra and our website.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of them, you may not access our services.

Description of Services

HeyMetra is a no-code AI data agent. It lets you connect third-party marketing and analytics accounts and then:

• Answers questions about your data in plain language
• Takes actions in your connected tools — but only after your explicit in-app approval (the "approval gate")
• Provides multi-tenant workspaces for teams
• Offers subscription-based access to premium features

User Accounts and Registration

Account Creation

To access the service, you must create an account and provide accurate, complete information. You must be legally able to enter into this agreement.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account and within your workspace, including actions taken by team members you invite.

Account Termination

We reserve the right to suspend or terminate your account for violations of these Terms or for other legitimate reasons at our discretion.

Connected Tools and the Approval Gate

You may connect third-party accounts (such as Google Ads, Meta Ads, Google Analytics 4, and Google Search Console) to HeyMetra through secure OAuth. By doing so, you authorize HeyMetra to access data from those tools using the scopes you grant, in order to answer your questions.

HeyMetra will only make changes in a connected tool after you explicitly approve that specific action in the app. You are solely responsible for any action you approve and for the consequences it has in your connected accounts. You are responsible for ensuring you have the rights and permissions to connect each account and to authorize the actions you approve. Your use of third-party tools remains subject to those providers' own terms.

Subscription Plans and Billing

Subscription Tiers

We offer subscription plans with varying levels of access:

The current plans, their limits and their prices are listed on our pricing page, which forms part of these Terms. Paid plans differ in usage limits, the number of integrations and workspace seats; Enterprise adds custom limits and dedicated support.

Payment Processing

All payments are processed through DodoPayments, our payment processor. By subscribing, you also agree to DodoPayments' terms of service and privacy policy.

Billing Cycles

Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. Your subscription renews automatically unless cancelled before the renewal date.

Price Changes

We reserve the right to modify subscription prices. We will provide advance notice of any change, which will take effect on your next billing cycle.

Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property or privacy rights
• Connect accounts you are not authorized to access, or approve actions you are not authorized to take
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems or other workspaces
• Use automated tools to scrape, overload, or misuse the service
• Resell or redistribute the service without our explicit authorization
• Reverse engineer or attempt to extract our underlying models or systems

Intellectual Property Rights

Our Content

All content, features, and functionality of our services — including text, graphics, logos, and software — are owned by Zeisoft Yazılım Limited Şirketi and protected by copyright and other intellectual property laws.

Your Data

You retain all rights to the data in your connected tools and the content you provide. You grant us a limited license to process that data solely to operate the service for you, as described in our Privacy Policy. We do not sell your data and do not use it to train AI models.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your business or personal use in accordance with these Terms.

Third-Party Services

HeyMetra relies on third-party services, including a connector infrastructure provider, large language model providers reached through a routing provider, our payment processor (DodoPayments), and the tools you connect. We are not responsible for the availability, accuracy, or practices of these third parties, and your use of them may be subject to their own terms.

Disclaimers and Limitations

Service Availability

While we strive for high availability, our services are provided "as is" and "as available," and we do not guarantee uninterrupted or error-free operation.

AI Output and Data Accuracy

HeyMetra generates answers using AI and data from your connected tools. While we work to make its responses useful, we do not warrant that all output is accurate, complete, or up to date. You should review AI-generated insights and any action before approving it.

Limitation of Liability

To the maximum extent permitted by law, Zeisoft Yazılım Limited Şirketi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including actions you approve in connected tools.

Indemnification

You agree to indemnify and hold harmless Zeisoft Yazılım Limited Şirketi, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, the actions you approve, or your violation of these Terms.

Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to paid services will cease at the end of your current billing period
• Connected-tool access tokens are revoked
• We reserve the right to delete your account data after a reasonable period

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict of law provisions. The courts and enforcement offices of Türkiye shall have jurisdiction over any dispute arising from these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through our website. Continued use of our services after such changes constitutes acceptance of the updated Terms.
