Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zeisoft Yazılım Limited Şirketi ("HeyMetra," "Company," "we," "our," or "us") concerning your access to and use of HeyMetra and our website.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of them, you may not access our services.

The Data Transfer and Responsibility Notice forms part of these Terms, and our Privacy Policy explains how we handle personal data. You accept the Terms and the Notice, and confirm that you have read the Privacy Policy, when you sign up, and again whenever either is updated.

HeyMetra is offered for business and professional use only. By using it, you confirm that you are acting on behalf of a business or in a professional capacity, not as a consumer.

Description of Services

HeyMetra is a remote MCP (Model Context Protocol) server. It lets you connect third-party advertising, analytics, ecommerce, subscription and CRM accounts, and then makes those accounts available to an AI assistant of your choosing, such as Claude, ChatGPT, Grok, Perplexity, Claude Code, Codex, Cursor or Antigravity. Specifically, it:

• Holds the credentials for the accounts you authorise, and executes tool calls against them on your behalf
• Holds every change to a connected account for your approval before it runs
• Records every tool call in an audit log
• Provides multi-tenant workspaces for teams
• Offers subscription-based access

HeyMetra does not operate a language model and provides no interface for asking questions. The model that decides which tool to call is the one in your own AI assistant, under your own subscription and your own agreement with its operator.

User Accounts and Registration

Account Creation

To access the service, you must create an account and provide accurate, complete information. You must be legally able to enter into this agreement.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account and within your workspace, including actions taken by team members you invite.

Account Termination

We reserve the right to suspend or terminate your account for violations of these Terms or for other legitimate reasons at our discretion.

Connected Accounts, Tool Calls and Your AI Assistant

You may connect third-party accounts (such as Google Search Console, Google Ads, Shopify, Stripe or App Store Connect) to HeyMetra through OAuth or an API key. By doing so, you authorise HeyMetra to reach those accounts within the scopes you grant, so that tool calls from your AI assistant can be executed against them. HeyMetra is a bridge: data from a connected account is passed to the AI tool that asked for it and is not kept on our servers, as the Data Transfer and Responsibility Notice sets out.

You are responsible for the tool calls made under your connection, including those initiated by an AI assistant on your behalf. That includes calls that change a connected account. Such a call waits for approval before it runs, and a call you approve is a call you are accountable for. You are also responsible for ensuring you hold the rights and permissions to connect each account.

Your use of a third-party account remains subject to that provider's own terms. Your use of an AI assistant remains subject to that assistant operator's terms and privacy policy, including whatever they do with data a tool returns. HeyMetra is not a party to that relationship and makes no representation about it.

Subscription Plans and Billing

Subscription Tiers

We offer subscription plans with varying levels of access:

The current plans, their limits and their prices are listed on our pricing page, which forms part of these Terms. A plan belongs to the account of the person who owns the workspaces, and its limits apply across every workspace that person owns. Paid plans differ in how many connectors may be wired up at once and how many seats are included; Enterprise adds custom limits and dedicated support. There is no free tier.

Payment Processing

All payments are processed through DodoPayments, our payment processor. By subscribing, you also agree to DodoPayments' terms of service and privacy policy.

Billing Cycles

Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. Your subscription renews automatically unless cancelled before the renewal date.

Price Changes

We reserve the right to modify subscription prices. We will provide advance notice of any change, which will take effect on your next billing cycle.

Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property or privacy rights
• Connect accounts you are not authorized to access, or approve actions you are not authorized to take
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems or other workspaces
• Use automated tools to scrape, overload, or misuse the service
• Resell or redistribute the service without our explicit authorization
• Reverse engineer our systems, or attempt to call tools outside the workspace and connections you are authorised for

Intellectual Property Rights

Our Content

All content, features, and functionality of our services (including text, graphics, logos, and software) are owned by Zeisoft Yazılım Limited Şirketi and protected by copyright and other intellectual property laws.

Your Data

You retain all rights to the data in your connected accounts and the content you provide. You permit us to fetch that data and pass it to the AI tool you choose, solely to carry out the tool calls you make, as described in the Data Transfer and Responsibility Notice and our Privacy Policy. We do not sell your data and do not use it to train any model. We do not operate a model.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your business or personal use in accordance with these Terms.

Third-Party Services

HeyMetra relies on third-party services, including a connector infrastructure provider, our payment processor (DodoPayments), and the accounts you connect. We are not responsible for the availability, accuracy, or practices of these third parties, and your use of them may be subject to their own terms. The same applies to the AI assistant you choose, which is not a service we provide.

Disclaimers and Limitations

Service Availability

While we strive for high availability, our services are provided "as is" and "as available," and we do not guarantee uninterrupted or error-free operation.

AI Output and Data Accuracy

HeyMetra returns data read from your connected accounts. The interpretation of that data is produced by your own AI assistant, not by us, and we do not warrant that any conclusion it reaches is accurate, complete or up to date. Treat output that leads to a decision about money the way you would treat any other unverified figure.

Limitation of Liability

To the maximum extent permitted by law, Zeisoft Yazılım Limited Şirketi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including actions you approve in connected tools.

Indemnification

You agree to indemnify and hold harmless Zeisoft Yazılım Limited Şirketi, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, the actions you approve, or your violation of these Terms.

Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to paid services will cease at the end of your current billing period
• Connected-account credentials are destroyed at the credential store
• We reserve the right to delete your account data after a reasonable period

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict of law provisions. The courts and enforcement offices of Türkiye shall have jurisdiction over any dispute arising from these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. When they change, the date above changes, we notify you by email or in the app, and you are asked to accept the updated Terms before you continue using HeyMetra.
